The U.S. Securities and Exchange Commission (SEC) on Monday approved a five‑year “Innovation Exemption” that allows regulated venues to trade tokenized stocks around the clock on public blockchains. The rule, which applies to a limited set of securities, is intended to foster “innovation” while preserving investor protections, according to the SEC’s filing.

Regulatory shift opens new market infrastructure

Industry analysts quickly identified a set of firms that could capture early market share. Goldman Sachs analysts, cited by CoinDesk, said the exemption creates “new opportunities in custody, tokenization infrastructure and stable‑coin settlement.” Citizens Bank analysts echoed the view, noting that brokers that already operate crypto platforms stand to "expand their product suites" with tokenized equities.

"The SEC’s five‑year Innovation Exemption clears a path for 24‑hour trading of tokenized equities on public blockchains," said a spokesperson for the SEC in the filing.

The exemption permits registered entities to issue and trade blockchain‑based representations of underlying stocks, provided they meet the SEC’s eligibility criteria and maintain robust AML/KYC controls. It also allows the use of stablecoins for settlement, a point highlighted by multiple outlets.

Potential beneficiaries: Coinbase, Robinhood and Circle

CoinDesk and the Northeast Times reported that Coinbase (COIN) could leverage its existing custodial infrastructure to host tokenized shares, while its upcoming “Coinbase Prime” suite would enable institutional investors to settle trades in USDC, the stablecoin issued by Circle (CRCL). Circle, in turn, is positioned to act as a settlement bridge, with its USDC already integrated into a growing number of crypto‑friendly payment rails.

Robinhood (HOOD) is expected to extend its brokerage platform into the tokenized‑stock space, offering retail customers a seamless on‑ramp from equities to crypto‑based securities. Analysts at Citizens noted that Robinhood’s “dual‑licensed” status—both as a broker‑dealer and a crypto exchange—gives it a structural advantage in meeting the SEC’s compliance requirements.

Other market participants are also eyeing the development. WisdomTree received SEC approval to trade its tokenized fund 24/7, marking the first fund to operate under the new framework, according to CoinMarketCap. Meanwhile, the decentralized finance platform Remittix and its PayFi product were mentioned by StreetInsider as examples of how the rule could spur innovative cross‑border payment solutions.

Market reaction and dissenting views

The announcement triggered mixed reactions across the broader crypto market. Bitcoin and Ethereum prices rose modestly in the hours after the SEC filing, a trend noted by StreetInsider as evidence that “crypto assets are responding positively to the prospect of 24‑hour equity access."

Conversely, veteran investor Peter Schiff called the move “bearish for Bitcoin” despite a concurrent rally, as reported by TradingView. Schiff argued that the new tokenized‑stock venues could divert capital away from traditional cryptocurrencies.

Shares of Uniswap (UNI) jumped roughly 30% after the news, according to Startup Fortune, reflecting investor optimism that decentralized exchanges could also tap the tokenized‑stock market once the exemption is fully operational.

While the SEC’s rule is limited to a select group of securities and venues, it marks the most significant regulatory endorsement of blockchain‑based equity trading to date. The exemption runs until 2029, giving firms ample time to develop the necessary technology and compliance frameworks.

As the industry builds out the required infrastructure, the next few months will likely reveal whether the anticipated “new opportunities” materialize into sustained revenue streams for the highlighted firms, or whether technical, legal or market‑acceptance challenges slow adoption.
